Welcome to Apollo Fruit Products! These Terms of Service (“Terms”) govern your use of our manufacturing and trading services, whether you are a supplier of fruits and vegetables products, sauces, vinegar, pickles, juices, or any related items (collectively referred to as “Products”). Please read these Terms carefully, as they constitute a legally binding agreement between you (“Supplier,” “you,” or “your”) and Apollo Fruit Products (“Apollo Fruit,” “we,” “our,” or “us”).
By accessing or using our services, including but not limited to supplying Products to Apollo Fruit, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please do not use our services.
1. Supplier Relationship
1.1. Supplier Eligibility: To supply Products to Apollo Fruit, you must be a legal entity capable of entering into a contract and complying with all applicable laws, regulations, and these Terms.
1.2. Supplier Registration: You may be required to complete a registration process and provide accurate, complete, and up-to-date information as requested by Apollo Fruit. You are responsible for maintaining the confidentiality of your account credentials.
1.3. Supplier Responsibility: As a Supplier, you are responsible for the quality, safety, and compliance of the Products you supply, including adherence to all applicable laws, regulations, and industry standards.
2. Product Supply
2.1. Product Quality: Suppliers must maintain high-quality standards for all Products supplied to Apollo Fruit, including adherence to relevant food safety regulations and industry standards.
2.2. Product Specifications: Suppliers must provide accurate and complete specifications for their Products, including ingredients, nutritional information, and any allergen information, as required by law.
2.3. Product Delivery: Suppliers shall be responsible for delivering Products to the designated Apollo Fruit locations or as otherwise agreed upon in writing.
3. Pricing and Payment
3.1. Pricing: The pricing terms for Products supplied to Apollo Fruit shall be negotiated and agreed upon between the parties in writing. Prices may be subject to change upon mutual agreement.
3.2. Payment Terms: Payment terms will be outlined in a separate agreement or purchase order. Suppliers shall invoice Apollo Fruit according to the agreed-upon terms.
4. Compliance with Laws
Suppliers must comply with all applicable laws and regulations, including but not limited to those related to food safety, labeling, and environmental standards.
5. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of their business relationship.
6. Termination
6.1. Termination by Either Party: Either party may terminate the supplier relationship with written notice, subject to any obligations under existing agreements.
6.2. Termination for Cause: Apollo Fruit reserves the right to terminate the supplier relationship immediately if the Supplier breaches these Terms or fails to meet quality or safety standards.
7. Miscellaneous
7.1. Amendment: Apollo Fruit may update or modify these Terms at any time by providing notice to Suppliers. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
7.2. Governing Law: These Terms are governed by and construed in accordance with the laws.
7.3. Entire Agreement: These Terms, together with any separate agreements between the parties, constitute the entire agreement between the parties and supersede all prior agreements and understandings.
